  DESCRIPTION  
  Repudiation of a contract may be described as a manifestation or unwillingness to perform a contract in some essential part, or at all, that is serious enough to give the other party a right to terminate. The focus of repudiation is on the conduct of the party in breach and whether they intend to be bound by the underlying contract. An actual intention to repudiate is not necessary.
